Ruiz Appointed AMD Chairman
Online staff -- EDN, April 30, 2004
AMD President and CEO Hector Ruiz was appointed chairman of the board today following the MPU player's annual stockholders meeting.
In addition, AMD Co-founder and former chairman of the board W.J. Sanders III retired from the board and was elected a director and chairman emeritus in honor of his three decades leading the company. This move had been expected and was announced in February.
Lead independent director of AMD, Robert Palmer, thanked Sanders on behalf of the board for his leadership in “managing the company from its inception through the transition to Hector as chief executive officer and today, chairman of AMD. We are pleased with Hector’s performance and confident in the future of AMD.”
Ruiz has been a director at AMD since 2000 and is now president, CEO and chairman of the board. He joined AMD in January 2000 and became AMD’s CEO on April 25, 2002. Prior to AMD, Ruiz was president of Motorola’s Semiconductor Products Sector.
Additionally, H. Paulett Eberhart was elected as AMD’s newest director, filling a vacancy left by Friedrich Baur. A 30-year veteran of EDS, Eberhart served as president of the Americas until her retirement on March 31. Previously, she served in a number of senior executive roles for the company.
Further, during the AMD stockholders meeting, the board approved a number of new committee structures and approved the appointment of Ernst & Young LLP as independent auditors for the current year, as well as AMD’s 2004 Equity Incentive Plan.
